COMBINATION MEMBERSHIP AND RENTAL AGREEMENT

This Membership and Rental Agreement (the "Agreement") is effective as of the date indicated at the bottom of this document, by and between Harpli™ LLC ("Harpli™"), accessible via https://harpli.com with a business address of PO Box 572, Fort Garland, Colorado 81133, and all current and future members and renters of Harpli™ LLC (collectively referred to as "Member" or "Renter").

  1. DEFINITIONS

For purposes of this Agreement:

  • "Harpli™ Services" refers to all educational and community services provided by Harpli™ including access to educational videos, coaching calls, workshops, LIVE harp lessons, and virtual ensembles.
  • "Starter Harp™" refers to the all in one harp and accompanying accessories provided for rental by Harpli™.
  • "Total HarpCare+™" refers to the revolutionary maintenance, repair, and replacement program created by harpli™ detailed below.
  1. NATURE OF THE SERVICE

Harpli™ offers a platform for educational and community purposes. Membership services include free community access and paid educational services, which may include prerecorded videos, coaching calls, workshops, and personalized instruction. The Community aspect is free and includes features such as user profiles, community feeds, and messaging. Paid services include detailed curricula, one-on-one instruction, and other benefits based on the membership level.

  1. MEMBERSHIP FEES AND PAYMENTS

3.1 Membership Fees

  • Free Membership: Includes access to community features and discounts on sheet music.
  • Paid Membership: Costs $297 per month and includes access to educational content, personalized instruction, 30 mins of LIVE instruction per month and discounts on live lessons.
  • COMBO Membership: For only $397 per month you will still get access to educational content, personalized instruction, 30 mins of LIVE instruction per month and discounts on additional live lessons. You will also receive your own all in one Stater Harp™ rental, deeper discounts, and additional workshops.

3.2 Payment Terms

  • Payments for memberships and rentals will be processed through Harpli™'s ecommerce platform.
  • All members and renters must maintain a valid credit/debit card on file.
  • If a payment fails, an alternate payment method must be provided within 4 days to avoid a $10 late fee. An NSF fee of $25 may apply for repeated payment failures. Failure to update payment information may result in termination of paid features.
  1. RENTAL TERMS

4.1 Equipment

  • Harpli™ leases to Renter a Starter Harp™ Bundle.

4.2 Rental Term

  • The rental begins upon completion of the order and collection of a $397.00 security deposit. Receipt of the Equipment will occur within 7-10 business days. The rental continues on a monthly basis until the Starter Harp™ is returned and membership is downgraded.

4.3 Rental Payments

  • Renter agrees to pay $397 per month until the return of the Equipment. Harpli™ is authorized to charge the credit card on file for rental payments.

4.4 Security Deposit

  • A $397.00 security deposit is required. If the Equipment is returned after less than 13 weeks, the deposit will be adjusted by the amount of unpaid rental fees.

4.5 Use and Condition of Equipment

  • The Equipment must be used carefully and for its intended purpose. Renter must inspect the Equipment upon receipt and report any defects immediately.

4.6 Maintenance and Damage Protection

  • Harpli™ will maintain an insurance policy covering accidental damage and theft with a police report, as long as the damage is not due to Renter's neglect. The Renter is responsible for insurance deductibles for loss or damage beyond repair.
  • Total HarpCare+™ covers 100% of parts and labor for pre-qualified repairs, maintenance, and replacement, including up to 26 broken strings per year, and replacements for stolen or irreparably damaged harps. It does not cover routine cleaning, tuning, or cosmetic damage.
  1. TERMINATION OF MEMBERSHIP

Upon cancellation of the subscription, access to paid features, progress, and discounts will cease. Members must provide notice to terminate membership and may incur additional fees for accessing scheduled live lessons or coaching sessions if they choose to re-subscribe.

  1. USER REGISTRATION AND INFORMATION

Members must provide accurate information during registration and maintain the confidentiality of their username and password. Impersonation of others will result in immediate ban from Harpli™.

  1. CONTENT

Members grant Harpli™ a nonexclusive right to use, display, and modify content posted on the site. This includes instructional videos and any business coaching content. Members are encouraged to perform due diligence and are responsible for their own results.

  1. RELEASE

Members release Harpli™ from claims arising out of disputes with other members.

  1. PRIVACY

Harpli™ will not sell or rent personal information to third parties without explicit consent and will store information securely. Harpli™ may access and modify personal information as necessary.

  1. NO AGENCY

No agency, partnership, or employment relationship is created by this Agreement.

  1. FORCE MAJEURE

Neither party shall be liable for failure to perform its obligations due to circumstances beyond its control, including natural disasters or acts of government.

  1. CONTACT INFORMATION

Notices and communications should be directed to Harpli™ at PO Box 572, Fort Garland, Colorado 81133. Members and renters must provide current contact information and update it as necessary.

  1. ACKNOWLEDGMENT OF UNDERSTANDING

Members and renters acknowledge they have read and understood the Agreement and had the opportunity to seek legal advice.

  1. MODIFICATIONS

Any modifications to this Agreement must be in writing and signed by both parties.

  1. ELECTRONIC SIGNATURE

Electronic signatures are considered valid and enforceable.

  1. HEALTH AND SAFETY COMPLIANCE

Members and renters must ensure that the use of Equipment complies with all applicable health and safety regulations.

  1. NO THIRD-PARTY BENEFICIARIES

This Agreement does not create any third-party beneficiary rights.

  1. DISPUTE RESOLUTION

Disputes under this Agreement shall be resolved by arbitration under the commercial arbitration rules of the American Arbitration Association. The Agreement shall be governed by Colorado law, and disputes shall be subject to the jurisdiction of Colorado courts.

  1. SEVERABILITY

If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.

  1. ASSIGNMENT

Neither this Agreement nor Renter’s rights are assignable without Harpli™'s written consent.

  1. BINDING EFFECT

This Agreement binds the parties and their respective heirs, legal representatives, and permitted assigns.

  1. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements. It may only be modified in writing, signed by both parties.

  1. CUMULATIVE RIGHTS

Rights under this Agreement are cumulative and not exclusive unless otherwise required by law.

  1. WAIVER

Failure to enforce any provision does not waive the right to enforce it later.

  1. INDEMNIFICATION

Renter will indemnify Harpli™ against any liability for losses or damages arising from the use of Equipment, except for damages resulting from Harpli™'s negligence.

  1. LIMITATION OF LIABILITY

Harpli™ is not responsible for other members' content or actions.

  1. PURCHASE OPTION

Rental payments may apply towards the purchase of the instrument if the account is in good standing, but this option is forfeited once the instrument is returned.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first above written.
